TERMS OF SERVICE

Acceptance of the Offer occurs by:

• registering an account in the Service and/or
• clicking Pay / Subscribe / Confirm payment and completing the payment, and/or
• actual use of paid functionality.

From the moment of acceptance, the Agreement is considered concluded in electronic form.

1. Terms

1.1. The Service is the stemnotes.app web application and its functionality.

1.2. Services consist of providing access to Service features according to the selected Plan.

1.3. User (Customer) is a legally capable individual (18+) or a legal entity or sole proprietor that has accepted the Offer.

1.4. Plan (Tariff) is a set of features, limits, and pricing published at /plans.

1.5. Subscription is recurring (monthly) access to paid functionality with auto-renewal until cancellation.

1.6. LiqPay is the payment service (acquiring) through which payment is accepted.

2. Subject of the Agreement

2.1. The Provider grants the User access to the Service on the terms of the selected Plan, and the User pays for the Services.

2.2. Services are provided in electronic form (access to functionality). No transfer of goods or delivery is performed.

2.3. The Provider does not transfer ownership rights to the Service; the User receives a limited right of use for the subscription term.

3. Account

3.1. To use the Service, the User creates an account and provides minimal required data (e.g., e-mail).

3.2. The User is responsible for keeping access credentials and all actions in their account.

4. Plans, limits, pricing

4.1. Current plans are posted at /plans. Base plans of the Service:

4.2. The Provider may change plan composition/limits/prices by publishing updates on /plans. For active subscriptions, changes apply from the next billing period unless stated otherwise.

5. Payment, currency, auto-renewal

5.1. Payment is made via LiqPay using methods available on the site.

5.2. Plan currency is USD. When paying via LiqPay/bank, the charge may be made in another currency according to exchange rate and the rules of payment systems/banks (conversion may be performed by LiqPay and/or the card issuing bank).

5.3. Subscription is recurring and automatically renews monthly until the User cancels. By paying for the subscription, the User consents to regular charges of the plan price.

5.4. The payment date is the date of successful confirmation by the payment system.

5.5. In case of a failed charge, access to paid features may be limited until successful payment.

6. Start of service, trial period

6.1. Access to paid functionality is provided after successful payment.

6.2. No trial period is provided unless explicitly stated on /plans.

7. Subscription cancellation and refunds

7.1. The User can cancel the subscription independently in the Service interface on the /plans page.

7.2. After canceling auto-renewal, the subscription remains active until the end of the already paid monthly period, unless otherwise stated in the Service.

7.3. Refunds (Option A): payment for an already started billing period is non-refundable, except when the Services were not actually provided due to the Provider's fault (e.g., prolonged technical unavailability of the Service) or in case of erroneous/double charge.

7.4. If a refund is justified, funds are returned by the same method used for payment, within the timeframes determined by the payment system/bank.

8. Rights and obligations of the parties

8.1. The Provider undertakes to provide access to the Service according to the Plan and maintain its operability within technical capabilities.

8.2. The Provider has the right to perform technical work, updates, and changes to functionality.

8.3. The User undertakes to:

• not violate laws and the rights of third parties;
• not attempt unauthorized access, attacks, or reverse engineering;
• not use the Service for spam/harmful content/fraud.

9. Intellectual property and user content

9.1. Rights to the Service (code, design, brand) belong to the Provider/right holders.

9.2. User content (notes, files) belongs to the User. The User grants the Provider a non-exclusive right to process this content solely to provide the Services (storage, synchronization, display).

10. Personal data and confidentiality

10.1. The User consents to the processing of personal data necessary to provide the Services and billing.

10.2. Detailed terms for personal data processing are defined in the Privacy Policy: [link will be added], which is an integral part of this Agreement.

11. Liability and limitations

11.1. The Service is provided as is, taking into account possible interruptions for updates/technical work.

11.2. The Provider is not liable for interruptions caused by actions of third parties, payment systems, providers, banks, or the User's devices.

11.3. The total liability of the Provider in any case is limited to the amount paid by the User for the last 1 (one) month of subscription before the event.

12. Force majeure

12.1. The parties are released from liability for failure to perform obligations due to force majeure circumstances.

13. Term

13.1. The Agreement is effective from the moment of acceptance and for the period of Service use/subscription term.

14. Law and disputes

14.1. The Agreement is governed by the laws of Ukraine.

14.2. Disputes are resolved through negotiations, and in case of failure to reach agreement, through court proceedings in accordance with the laws of Ukraine.
